1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Clawi.ai website, dashboard, APIs, and cloud-hosted sandbox services (collectively, the "Service"). The Service is provided by Floating Point Systems, Inc., a Delaware corporation ("Clawi.ai", "we", "us", or "our").

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Nature of Service: Managed Infrastructure

Clawi.ai provides a managed cloud hosting platform (Infrastructure-as-a-Service) that deploys and runs user-configurable AI agent software inside isolated cloud sandboxes. While the Service may include pre-installed software, templates, tools, or integrations, you understand and agree that:

  • The Service is a hosting environment (similar to a VPS) for your software and agents.
  • You are the sole controller of your agent's configuration, prompts, instructions, integrations, tools, and actions.
  • We provide the infrastructure (the "box"), but you are responsible for the agent (the "bot") and its behavior.

3. Experimental Service & Safety Notice

IMPORTANT SAFETY WARNING

THE SERVICE IS EXPERIMENTAL. AGENTS MAY BE UNRELIABLE, PRODUCE INCORRECT OR HARMFUL OUTPUTS, OR TAKE UNINTENDED ACTIONS.

You are solely responsible for:

  • Reviewing and validating all outputs and actions before relying on them.
  • Ensuring your agent does not violate laws or third-party rights.
  • Any consequences of enabling autonomous tools, API integrations, or financial transactions.

Root Access & Security: You may have root (administrative) access to your instance. You are solely responsible for the security of your instance, including patching software, managing keys, and securing network ports. We are not liable for any security breaches resulting from your configuration or mismanagement.

4. Acceptable Use Policy (AUP)

You agree not to use the Service, and not to allow your agent to use the Service, for any of the following restricted activities. We reserve the right to immediately terminate without notice any account found violating this policy:

  • Network Abuse: Scanning, probing, or attacking other networks or systems (DDoS, port scanning).
  • Crypto Mining: Mining cryptocurrency, plotting, or farming (e.g., Chia), or other excessive resource usage unrelated to standard AI agent operations.
  • Spam & Phishing: Sending unsolicited bulk email (spam), operating open mail relays, or hosting phishing sites.
  • Illegal Content: Creating, distributing, or facilitating child sexual abuse material (CSAM), terrorism-related content, or other unlawful material.
  • Malware: Distributing viruses, worms, trojans, or other malicious code.

We do not proactively monitor user content, but we reserve the right to review content if we receive abuse reports or flag high-risk activity.

5. EU Digital Services Act (DSA) Compliance

For users in the European Union, we comply with the Digital Services Act (DSA).

  • Notice and Action: If you identify illegal content hosted on our Service, please report it to abuse@clawi.ai. We will review legitimate notices and take appropriate action, including content removal or account suspension.
  • No General Monitoring: Per the DSA, we do not have a general obligation to monitor information which we transmit or store, nor to actively seek facts or circumstances indicating illegal activity.

6. Sanctions & Export Controls

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to US comprehensive sanctions, including but not limited to:

  • Cuba
  • Iran
  • North Korea
  • Russia
  • Syria
  • The Crimea, Donetsk, and Luhansk regions of Ukraine

You further warrant that you are not on any US government restricted party list (e.g., Specially Designated Nationals). We reserve the right to immediately terminate service if we discover access from these regions or by sanctioned individuals.

7. Subscriptions, Refunds & Cancellations

7.1 No Refunds & Immediate Performance

ALL PURCHASES ARE FINAL. We do not offer refunds for any reason, including service outages, AI errors, or dissatisfaction. See our Refund Policy for details.

EU/UK Right of Withdrawal Waiver

If you are a consumer in the EU/EEA or UK, you typically have a 14-day right of withdrawal. However, by purchasing our Service, you request immediate performance (provisioning of server resources and API keys) and expressly acknowledge that you thereby lose your right of withdrawal once the contract has been fully performed (i.e., once access is granted).

7.2 Data Retention & Backups

We do not provide backups. You are solely responsible for backing up your data and code. Upon cancellation or termination of your subscription, your instance and all associated data may be deleted immediately and cannot be recovered.

8. Third-Party Dependencies

The Service relies on third-party providers (e.g., OpenRouter, OpenAI, Anthropic, cloud providers). We are not responsible for:

  • Outages, rate limits, or blocking by these providers.
  • Changes in model behavior or availability.
  • Any loss of functionality caused by third-party failures.

9. Indemnification

You agree to protect, defend, indemnify and hold harmless Clawi.ai and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service or your agent's actions (including illegal acts).
  • Your violation of these Terms or applicable law.
  • Your violation of any third-party right, including intellectual property or privacy rights.
  • Any dispute between you and a third party involving your agent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAWI.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Dispute Resolution

12.1 US Residents: Binding Arbitration

If you are a US resident, any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association in Delaware, US. You waive any right to a jury trial or to participate in a class action.

12.2 EU/UK/Rest of World

If you are a consumer in a jurisdiction that prohibits mandatory arbitration, disputes shall be resolved in the competent courts of Delaware, USA, unless mandatory consumer protection laws in your country require otherwise.
